Job DescriptionMRI Software’s Legal team is instrumental in building, scaling, and supporting the framework for global commercial transactions and go-to-market efforts. MRI Software is seeking a Senior Legal Counsel to primarily focus on structuring, drafting, and negotiating commercial and strategic partnerships involving a diverse range of technology products and services. In this role, you will serve as a trusted legal partner to MRI’s sales, partnerships, procurement and customer success teams, helping move complex, high-value deals forward by giving practical legal guidance that supports the business while managing risk. This is a role with significant ownership: you’ll independently lead strategic transactions, collaborate with cross-functional stakeholders, and help shape how the team handles enterprise agreements. We offer flexibility for the right candidate, including remote work within the United States.What You’ll DoStructure, redline, negotiate, and close a broad range of commercial agreements, including license agreements, SaaS agreements, partnership contracts, and strategic alliances, ensuring favorable terms while balancing business objectives and legal riskOwn end-to-end legal support for strategic transactions, serving as a primary legal contact for high-value agreements with customers, vendors, and partnersAssess legal and commercial risk in complex transactions and provide timely, business-focused advice with clear recommendations, practical alternatives to blockers, and methods to accelerate contract velocityCollaborate with cross-functional stakeholders, including Sales, Finance, Product, Privacy, Security, Partnership, and Procurement, to solve problems, build partnerships, and achieve business goalsDevelop and improve contract templates, playbooks, and supporting documentation to increase team efficiency and scalabilityMonitor legal and regulatory developments relevant to commercial contracting and translate them into actionable guidanceSupport dispute resolutionHandle other business needs as they ariseWhat You’ll AchieveIn your first year, you’ll make a clear impact by timely resolving critical contracting work and contributing to the tools and guidance that will accelerate the review cyclesNavigate ambiguity with confidence and help shape emerging business models and go-to-market initiatives as the company continues to scaleFoster alignment between business goals and legal frameworks, applying original and innovative thinking to better service business needsBuild deep, collaborative relationships with key business and legal stakeholders across the U.S. and internationally, fostering open lines of communication and feedbackContribute to a culture of open dialogue and collaborative problem-solving across the teamWhat You’ll BringJ.D. from an accredited law school and active bar admission (in good standing) in at least one U.S. jurisdiction3-6 years of experience in commercial contract negotiationProven track record of independently leading and closing strategic agreements with enterprise customers, vendors, and partnersDeep expertise in technology contract terms including licensing models, indemnification, limitation of liability, IP ownership, data protection and privacy provisionsExperience developing and implementing contract playbooks, templates, and negotiation guidelines at scaleStrong business judgment with the ability to balance legal risk against commercial objectives and deliver practical, actionable adviceExcellent written and verbal communication skills with the ability to explain complex legal concepts clearly to business stakeholdersProficiency in Microsoft Office Suite and Adobe AcrobatAbility to manage multiple priorities, work independently, and thrive in a fast-paced, dynamic environmentManagement experience preferredAbout UsFrom the day we opened our doors, MRI Software has built flexible, game-changing real estate software that powers thriving communities and helps make the world a better place to live, work and play.
