Requirements and responsibilities


• Support the Chief Operating Officer in creating contracts and legal guidance for internal teams and our customers. • Lead the construction of plain language contracts appropriate for non legal audiences • Assist in creating new corporate structures that promote non-profit entrepreneurship • Understand, explain and help manage regulatory risk and compliance (financial, electoral, data privacy) • Occasionally lead complex legal negotiations with strategic vendors • Work with external counsel, draft, review and assist with the negotiation of contractual agreements, including NDAs, SOWs, and indemnity agreements. • Perform initial review and provide comments on contractual agreements • Assist in developing designation of authority policies relating to contract execution for a fast growing startup • Evaluate changes to pre-existing agreements. • Act as a liaison between internal business partners and the Legal Department • Prepare contract approval timelines with all parties involved and lead follow-up efforts to obtain contract approval. • Manage dissemination and filing of contractual agreements through e-mail and contract tracking database and maintain research contract database. • Maintain up-to-date tracking of all contracts and client correspondence to provide periodic internal update • Ensure contracts are accurate and reflect all negotiated changes, complete, signed by the appropriate parties and submitted in a timely manner. • Partner with other team members to create fast moving systems and processes for contract execution • Shape records management policies • Manage a compliance employee • Manage relationships and budget with external counsel • Work within the larger Operations team to provide general member support and contribute to long term projects.
